Terms of Service

DRAFT โ€” have a lawyer review before offering this to anyone. The liability, indemnity and warranty clauses in particular decide what happens on your worst day.

Effective October 16, 2026

These terms govern use of the licence analysis service at wantnot.ebbwater.net, operated by Ebbwater, LLC ("WantNot", "we"). By using the service you agree to them.

1. The service

WantNot reads licence and usage data from a Microsoft 365 tenant you administer and identifies licences that appear to be paid for but unused.

Instant Audit runs entirely in your browser. We receive no data from it.

Continuous connects a tenant with your administrator's consent, scans it on a schedule, and retains findings so change can be tracked over time.

2. Your responsibilities

You must have authority to grant the access you grant. Connecting a tenant you do not administer, or without your organisation's authorisation, is a breach of these terms.

You are responsible for your account credentials, for who you grant access to, and for reviewing findings before acting on them.

3. Findings are advisory

This matters more than the usual boilerplate, so it is stated plainly.

Findings are the output of automated analysis, not instructions. We identify licences that appear unused based on the signals Microsoft exposes. We cannot know that a person on extended leave still needs their account, that a quiet mailbox is subject to a legal hold, or that a licence is required for a system you have not told us about.

Review every finding before acting. Removing a licence can result in permanent loss of the associated mailbox and files after Microsoft's retention period. That consequence is Microsoft's behaviour, not ours, and it is not reversible.

Dollar figures are estimates. Unless you supply your actual contracted rates we use published list prices, which almost nobody pays โ€” on a typical discount that overstates the figure by roughly a quarter. Reports state which basis was used.

4. Remediation, where enabled

If you enable licence removal, you are asking us to make changes in your tenant. That requires separate, explicit consent and is off by default.

Every removal requires you to preview a plan and confirm it. We execute only the plan you confirmed, verify current state immediately before each change, and log every action. We apply limits on how many changes can be made at once.

You remain responsible for the outcome. You selected the findings, you confirmed the plan.

5. Availability

We aim for high availability but do not offer an uptime commitment at present. The service may be unavailable for maintenance, provider outages, or faults.

Scans depend on Microsoft Graph. When Microsoft throttles or is unavailable, scans are delayed or fail.

6. Fees

Fees are as stated at the time of purchase. Charges are per licensed seat across connected tenants, measured at the most recent scan. Fees are exclusive of tax.

You may cancel at any time. Monthly billing ends at the close of the current period; annual is refunded pro rata.

7. Your data

Handled as described in the Privacy Policy and, where applicable, the Data Processing Agreement. You own your data. We do not sell it, use it for our own purposes, or use it to train machine learning models.

You may export your data at any time and request deletion at any time.

You can revoke our access unilaterally by removing the enterprise application in your own Microsoft 365 tenant. That takes effect immediately and requires no action from us.

8. Intellectual property

We retain all rights in the service, including the analysis methods and interface. You retain all rights in your data.

You may use reports produced by the service however you wish, including sharing them with your own clients.

9. Acceptable use

Do not attempt to access another customer's data, probe or attack the service, reverse engineer it beyond what applicable law permits, resell access without written agreement, or use it to access a tenant you are not authorised to administer.

We may suspend accounts that breach this, with notice where practical and without where the risk requires it.

10. Warranties

The service is provided "as is". To the maximum extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that findings are complete or correct, that the service will be uninterrupted, or that acting on findings will produce any particular saving.

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.

Our total aggregate liability is limited to the fees you paid in the twelve months preceding the claim.

Nothing limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be limited.

12. Indemnity

You will indemnify us against claims arising from your use of the service in breach of these terms, including claims that you lacked authority to grant the access you granted.

13. Term and termination

These terms apply while you use the service. Either party may terminate at any time; you by cancelling, us on 30 days' notice, or immediately for material breach.

On termination we delete your data as described in the Privacy Policy. Export first.

14. Changes

We may amend these terms. Material changes are notified by email at least 30 days before taking effect. Continuing to use the service after that constitutes acceptance.

15. Governing law
